These Terms of Use (“Terms”) govern your access to and use of the Zellect website, applications, election management platform, and related services (the “Services”). 

By creating an account or using the Services, you agree to be bound by these Terms. If you don't agree, you must not use the Services.

If you're using Zellect on behalf of an organisation, you represent that you're authorised to accept these Terms on its behalf, and “you” refers to that organisation as well.

1. About Zellect

Zellect is an electronic election management platform providing tools to create, configure, administer, and conduct elections, including voter management, accreditation, voting, results, and audit records. 

Zellect provides the technology; it does not determine an election's rules, eligibility requirements, candidates, or outcome. 

The organisation conducting an election is responsible for its rules and for complying with applicable laws and its own governing documents.

2. Eligibility and Accounts

You may use Zellect only if you're legally capable of entering into these Terms. If you create or manage an organisation or election, you represent that your information is accurate, you have authority to act on behalf of the organisation and to provide voter, candidate, or administrator information to Zellect, and that you'll use the Services lawfully. 

Zellect may refuse access where we reasonably believe these requirements aren't met.

You're responsible for keeping your account information accurate, your credentials confidential, and access to your account restricted to authorised individuals, and for notifying us promptly of any suspected unauthorised access. 

Organisation owners are responsible for managing administrative access within their organisation. 

Zellect isn't responsible for losses resulting from your failure to secure your account, except where caused by our own failure to meet obligations under applicable law.

3. Organisations and Elections

An organisation using Zellect is responsible for the elections it creates and conducts, including defining election rules, determining voter and candidate eligibility, providing accurate voter and candidate information, configuring election offices and voting rules correctly, and reviewing the full election configuration before it opens for voting. 

An organisation must not upload personal information without appropriate authority or lawful basis to do so.

Once an election is active, certain settings may be restricted to protect its integrity. Zellect isn't responsible for an incorrect election configuration caused by an organisation or its administrators.

4. Voters and Anonymous Voting

By participating in an election, voters agree to provide accurate information where required, use only their own election access, keep that access confidential, vote only as permitted by the election's rules, vote personally, and not attempt to access another voter's account or interfere with the election. 

Voters must not sell, transfer, or share their election access credentials.

Zellect is designed to support anonymous voting: where an election is configured for it, voter identity and eligibility information is kept separate from individual voting choices, and organisations should not be able to identify how a specific voter voted through the platform. 

An organisation may still be able to determine whether a voter was eligible, accredited, or participated. Anonymity within Zellect does not prevent an organisation or third party from learning about a voter's participation through means outside the platform.

5. Prohibited Conduct

You must not use Zellect to interfere with an election's operation, security, or integrity; alter, delete, or manipulate votes or election records; gain unauthorised access to accounts, elections, or election information; submit fraudulent voter information or create unauthorised accounts; circumvent accreditation or access controls; probe or test Zellect's systems without prior written authorisation; introduce malicious code; overload the Services through automated means; or use the Services for any unlawful, fraudulent, or abusive purpose. Violations may result in suspension or termination of access under Section 8.

6. Election Responsibility

Zellect provides the technical platform but does not act as an election authority. The organisation remains responsible for determining voter and candidate eligibility, establishing and communicating election rules, resolving disputes about those rules, deciding whether an election should be postponed or repeated, and the final use and publication of results. 

Zellect may provide technical records or reports to support legitimate election administration but does not independently determine an election's winner.

7. Pricing and Payments

Zellect may charge fees for certain Services, presented to the organisation before purchase. Where pricing is based on expected voter count, the organisation must provide a reasonable, accurate estimate; intentionally understating it to obtain a lower price is not permitted. If voter capacity needs to increase after purchase, Zellect may require an additional fee at the rate applicable at the time of the request, along with any disclosed administrative fee, the total will be shown before confirmation.

Payment is processed through Zellect's designated payment method, which may involve third-party payment providers; Zellect does not ordinarily store complete card details. 

Displayed fees may exclude applicable taxes or government charges unless stated otherwise, which remain the organisation's responsibility except where Zellect is legally required to collect them. Where the price shown during checkout differs from earlier promotional material, the checkout price generally applies.

Payments for election services are generally non-refundable once an election is activated or election processing has begun; refund requests for elections not yet activated may be considered at Zellect's discretion. 

If Zellect is unable to provide a paid Service due to a failure within our reasonable control, we may provide a remedy such as restoring the Service, rescheduling, service credit, or a refund. If a payment fails, is reversed, or charged back, Zellect may restrict access to the affected Service, suspend the election, or take other reasonable steps to resolve the outstanding amount. Pricing changes generally apply only to new purchases and won't retroactively affect an active election unless additional chargeable capacity is requested. 

Nothing here limits any refund or consumer right that can't lawfully be excluded.

8. Suspension and Termination

We may temporarily suspend or restrict access where reasonably necessary to protect the security of Zellect or an election, investigate suspected fraud or abuse, respond to a serious violation of these Terms, comply with a legal requirement, address a payment issue, or perform necessary maintenance, with advance notice where practicable, though immediate action may be taken where notice would increase risk. 

We may also suspend or disable a specific election where we reasonably believe it violates these Terms, involves unlawful activity, poses a security risk, or where the organisation lacks authority to conduct it, and will notify the organisation where appropriate.

An organisation may cancel its use of Zellect subject to any applicable payment terms; cancellation doesn't necessarily mean immediate deletion of election records, which may be retained per the Privacy Policy. 

We may terminate access for a material or repeated violation of these Terms, providing an opportunity to correct it first where appropriate and legally permitted. On termination, your right to use the affected Services ends, outstanding payment obligations remain due, provisions that should survive termination continue to apply, and information is handled per the Privacy Policy. 

Termination doesn't invalidate legitimate votes or election records solely because an account is later terminated.

9. Intellectual Property

Zellect's platform, software, branding, and related materials are owned by or licensed to Zellect and protected under applicable IP law. 

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. You may not copy, reverse-engineer, remove proprietary notices from, or use Zellect's branding or platform to build a competing service.

Organisations retain ownership of the content they provide, like  election descriptions, candidate and voter information, logos, and similar materials, and represent that they have the rights to provide it. 

By uploading it, the organisation grants Zellect the limited rights needed to host, process, and display that content solely to provide and improve the Services. 

If you give us feedback or suggestions, we may use them without restriction or compensation, provided doing so doesn't disclose your confidential information.

10. Third-Party Services and Availability

Zellect relies on third-party services, including payment, and communication providers  that are subject to their own terms and policies; we're not responsible for their independent acts, outages, or policies. 

We make reasonable efforts to keep the Services available but don't guarantee uninterrupted, error-free, or fully compatible operation across every device or network. The Services may occasionally be unavailable due to maintenance, security incidents, infrastructure or third-party failures, or other circumstances beyond our reasonable control; where practicable, we'll give advance notice of planned maintenance likely to materially affect the Services.

11. Disclaimers and Limitation of Liability

The Services are provided on an “as available” and, to the extent permitted by law, “as is” basis. Zellect doesn't guarantee the Services will be free of errors or vulnerabilities, and doesn't guarantee any particular election outcome or voter turnout. The organisation conducting an election is responsible for the accuracy and lawfulness of its rules, eligibility criteria, and administration. Zellect is a technology provider, not an independent election authority. Nothing here excludes any warranty or right that can't lawfully be excluded.

12. Indemnification

To the extent permitted by law, an organisation agrees to indemnify and hold harmless Zellect, its officers, employees, affiliates, and service providers from claims, losses, and expenses arising from the organisation's violation of these Terms, unlawful or unauthorised use of the Services, personal information uploaded without appropriate authority, the organisation's election rules or administration, disputes with its voters or candidates, or content it provides that infringes another person's rights. This doesn't require indemnification for losses caused by Zellect's own unlawful conduct or obligations that can't legally be transferred.

13. Changes to These Terms

We may update these Terms to reflect changes to the Services, pricing, or legal requirements, and will update the “Last Updated” date when we do. Where a change is material and applicable law requires additional notice, we'll take reasonable steps to notify affected users. 

Continued use after updated Terms take effect constitutes acceptance; if you don't agree, you must stop using the affected Services.
